1. AGREEMENT TO TERMS

By accessing, browsing, or using our website at www.aybl.com, our mobile applications, or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms").

4. ELIGIBILITY AND USER REPRESENTATIONS

(f) Your use complies with all applicable laws and regulations

If you provide information that is untrue, inaccurate, outdated, or incomplete, we reserve the right to suspend or terminate your account and refuse current or future use of our Services.

5. USER REGISTRATION AND ACCOUNT SECURITY

You are solely responsible for all activities that occur under your account. You agree to:

All Content and Marks are protected by copyright, trademark, and other intellectual property laws of the United Kingdom, European Union, and international treaties. All rights are reserved.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download or print one copy of Content for your personal, non-commercial use

6.3 Restrictions

You may not, without our express written permission:

7. PRODUCTS AND SERVICES

7.1 Product Information

We make reasonable efforts to accurately display the colors, features, specifications, and details of our products. However, we cannot guarantee that:

• Colors will be accurately displayed on your device

• Product descriptions are error-free, complete, or current

• Products will match your expectations in every detail

Product images are for illustrative purposes and may not reflect the exact appearance of the product.

7.2 Product Availability

All products are subject to availability. We do not guarantee that products will be in stock or available for purchase at any given time. We reserve the right to:

8. PRICING AND PAYMENT

8.1 Pricing

All prices are displayed in British Pounds (GBP) unless otherwise stated and include VAT where applicable. Prices are subject to change without notice. We reserve the right to correct pricing errors even after an order has been submitted or confirmed.

Additional charges may apply for:

• Agree to promptly update payment information if it changes

We do not store your full payment card details on our servers. Payment information is encrypted and securely transmitted to our payment processors.

9. ORDERS AND ORDER ACCEPTANCE

9.1 Placing an Order

When you place an order through our Services, you make an offer to purchase products subject to these Terms. Your order constitutes an offer that we may accept or reject at our discretion.

9.2 Order Confirmation

After placing an order, you will receive an email confirmation acknowledging receipt of your order. This confirmation does not constitute acceptance of your order. A contract between us is formed only when we dispatch the products to you and send a dispatch confirmation email.

9.3 Right to Refuse or Cancel Orders

We reserve the right to refuse, cancel, or limit any order for any reason, including:

• Orders that appear to be placed by dealers or resellers

• Right to receive goods as described, of satisfactory quality, and fit for purpose

11. PROHIBITED ACTIVITIES

You may not access or use our Services for any purpose other than that for which we make them available. Prohibited activities include, but are not limited to:

11.1 Unlawful or Harmful Activities

• Violating any applicable laws, regulations, or these Terms

• Engaging in fraudulent, deceptive, or misleading practices

• Harassing, abusing, threatening, or intimidating others

• Infringing intellectual property rights of AYBL or third parties

11.2 Technical Misuse

• Using automated systems, bots, scripts, or scrapers to access our Services

• Attempting to bypass security measures or access restrictions

• Interfering with the proper functioning of our Services

• Introducing viruses, malware, or harmful code

• Reverse engineering or decompiling our software

11.3 Data and Content Misuse

• Systematically extracting data to create databases or compilations

• Collecting personal information of other users

• Impersonating another person or entity

• Using another user's account without permission

11.4 Commercial Misuse

• Reselling products without authorization

• Using our Services for unauthorized commercial purposes

• Making bulk purchases for resale

• Using purchasing agents or bots to make purchases

12. USER-GENERATED CONTENT

12.1 Types of Content

Our Services may allow you to submit, post, or share content including reviews, comments, photos, videos, and other materials ("User Content"). User Content may be visible to other users and the public.

12.2 Content Standards

You agree that all User Content you submit will:

• Be accurate and not misleading

• Not infringe third-party rights (copyright, trademark, privacy, etc.)

• Not contain illegal, offensive, defamatory, or harmful content

• Not constitute spam, advertising, or solicitation

• Not contain malware or harmful code

• Comply with all applicable laws and regulations

12.3 Prohibited Content

User Content must not:

• Be obscene, pornographic, or sexually explicit

• Promote violence, discrimination, or hatred

• Harass, bully, or threaten others

• Violate privacy or data protection rights

• Contain false or defamatory statements

13. CONTENT LICENSE

13.1 License Grant

By submitting User Content, you grant AYBL a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content in any media format and through any media channel.

This license includes the right to use your name, image, likeness, and voice in connection with your User Content for marketing, promotional, and commercial purposes.

13.2 Your Ownership

You retain all ownership rights in your User Content. The license you grant to us does not transfer ownership to us. However, you waive any moral rights you may have in the User Content.

13.3 Our Rights

We have the right, but not the obligation, to:

• Monitor, review, and moderate User Content

• Remove, edit, or refuse to post any User Content

• Take action against users who violate these Terms

We are not responsible or liable for any User Content posted by you or others.

14. REVIEWS AND FEEDBACK

14.1 Review Guidelines

When submitting product reviews or ratings, you must:

• Have genuine first-hand experience with the product

• Provide honest, unbiased feedback

• Not use offensive, discriminatory, or inappropriate language

• Not post false or misleading statements

• Disclose any material connections or incentives

14.2 Review Moderation

We reserve the right to accept, reject, edit, or remove reviews at our sole discretion. We are not obligated to post all reviews and do not guarantee that reviews are accurate, current, or representative of all customer experiences.

15. MOBILE APPLICATION LICENSE

15.1 License Grant

If you access our Services through our mobile application, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the application on devices you own or control, strictly in accordance with these Terms.

15.2 License Restrictions

You must not:

• Decompile, reverse engineer, or attempt to extract source code

• Modify, adapt, or create derivative works

• Remove or alter proprietary notices

• Use the application for revenue-generating purposes

• Make the application available on a network for simultaneous use by multiple users

15.3 App Store Terms

If you download our application from the Apple App Store or Google Play Store, you agree to comply with their respective terms of service. We are responsible for maintenance and support; the app distributors have no obligation to provide support or maintenance.

16. SOCIAL MEDIA INTEGRATION

Our Services may allow you to link your account with third-party social media accounts (Facebook, Instagram, etc.). By doing so, you authorize us to access certain information from your social media account as permitted by the platform's privacy settings.

Your relationship with social media platforms is governed by their respective terms and privacy policies, not by these Terms. We are not responsible for the privacy practices or content of third-party social media platforms.

17. THIRD-PARTY WEBSITES AND CONTENT

Our Services may contain links to third-party websites, applications, or services not owned or controlled by AYBL. We do not endorse, monitor, or control third-party content and are not responsible for:

• Accuracy, legality, or appropriateness of third-party content

• Privacy practices of third-party websites

• Transactions you conduct with third parties

• Products or services offered by third parties

When you leave our Services, these Terms no longer apply. We encourage you to review the terms and privacy policies of any third-party websites you visit.

18. SITE MANAGEMENT AND MONITORING

We reserve the right, but not the obligation, to:

• Monitor our Services for violations of these Terms

• Take legal action against users who violate laws or these Terms

• Remove or disable content that violates these Terms

• Refuse, restrict, or terminate access to any user

• Manage our Services to protect our rights and property

• Fraudulent or illegal activity

21.4 Effect of Termination

Upon termination:

• Your right to use our Services immediately ceases

• We may delete your account and content

• Provisions that should survive termination will continue (payment obligations, licenses granted by you, disclaimers, limitations of liability)

22. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without notice or liability. This includes:

• Changes to pricing and availability

• Temporary or permanent interruptions for maintenance

We do not guarantee that our Services will be available at all times or free from errors, delays, or interruptions. You agree that we have no liability for any inability to access or use our Services.

23. GOVERNING LAW AND JURISDICTION

23.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

23.2 Jurisdiction

Subject to Section 25 (Consumer Rights), you agree to submit to the non-exclusive jurisdiction of the courts of England and Wales for resolution of any disputes arising from these Terms or your use of our Services.

If you are a consumer resident in the EU, you may also bring proceedings in the courts of your country of residence.

24. DISPUTE RESOLUTION

24.1 Informal Resolution

25. CONSUMER RIGHTS (UK/EU)

25.1 Statutory Rights

If you are a consumer (i.e., purchasing for personal use not related to your trade or business), you have statutory rights under UK and EU consumer protection laws that cannot be excluded or limited by these Terms.

25.2 Key Consumer Rights

• Products must be as described, of satisfactory quality, and fit for purpose

• Right to cancel distance sales contracts within 14 days (Consumer Contracts Regulations 2013)

• Right to repair, replacement, or refund for faulty goods (Consumer Rights Act 2015)

25.3 Additional Protection

Nothing in these Terms affects your statutory rights or excludes our liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

26. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement

• Warranties that our Services will be uninterrupted, error-free, or secure

• Warranties regarding accuracy, reliability, or completeness of content

We do not warrant that defects will be corrected or that our Services are free from viruses or harmful components.

27. LIMITATIONS OF LIABILITY

27.1 Exclusions

27.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR £100, WHICHEVER IS GREATER.

27.3 Excluded Damages

WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

• Loss of profits, revenue, data, or business opportunities

• Business interruption

• Loss of goodwill or reputation

• Any other indirect or consequential losses

Note: These limitations do not affect your statutory rights as a consumer.

28. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless AYBL, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, and partners from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of our Services

• Your violation of these Terms

• Your violation of any rights of third parties

• Your User Content

• Any fraudulent or illegal conduct

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.

29. ELECTRONIC COMMUNICATIONS

By using our Services, you consent to receive electronic communications from us, including emails, text messages, push notifications, and notices posted on our Services.

You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

You agree to the use of electronic signatures, contracts, orders, and records, and to electronic delivery of notices, policies, and transaction records.

31. MISCELLANEOUS

31.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and AYBL regarding your use of our Services.

31.2 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

31.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative.

31.4 Assignment

We may assign our rights and obligations under these Terms without restriction. You may not assign these Terms without our prior written consent.

31.5 No Partnership

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and AYBL.

31.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, or governmental actions.
